Candidate Referral T&Cs
These Referral Terms and Conditions apply between Niya Network Ltd, a company registered in England and Wales with company number 13056558 whose registered office address is at: 86-90 Paul Street, London, EC2A 4NE (Niya); and you (individually and the entity that you represent) (Talent Partner).
The Referral Programme occurs when a Talent Partner refers an individual (Candidate) to Niya and where that Candidate’s profile is successfully published to Niya’s Social Mobility Network. Unless agreed otherwise by the parties in writing, the following tiered fee structure (see schedule A) will be payable for a successful referral. The tiered fees are payable for 12 months from the date of the first referred Candidate that’s profile is published onto Niya’s Social Mobility Platform.
Successful referrals must meet the following terms and conditions:
- The Referral Programme is open and available to any individual representing an organisation (charity, social enterprise etc.) or named community initiative that has successfully been verified as a Talent Partner prior to the Candidate’s registration. All Talent Partners are verified by a member of Niya’s team within 5 days of completing the Talent Partner Registration Form.
- The Referral Programme does not apply for any referred Candidate who is already known to Niya on the date that the Candidate is verified on the platform. This may apply where a Candidate has (a) already registered on the platform (b) been previously referred by another party (c) previously applied to Niya’s platform.
- There are no limits to the number of referrals a Talent Partner can make, but there is only one success fee per referred Candidate. Niya will only pay a referral fee for up to a maximum of 200 Candidates within 12 months of the first Candidate published.
- For the Talent Partner to qualify for the referral, the Talent Partner must be named as the referring organisation by the Candidate upon registering on Niya’s platform. All Talent Partners are listed for selection on the Candidate sign-up form following their verification.
- The reward is only payable where the Candidate is published on Niya’s platform within 12 months of being referred.
- If the referred Candidate has already been referred to Niya by another Talent Partner or named individual, then the reward is not payable. We operate on a ‘first come, first served’ basis.
- Unless specifically offered, there is no alternative Referral Fee available to Talent Partners.
- No replacements will be provided if the Referral Fee payment is misplaced or stolen.
Agreement, liabilities and termination
- This Agreement contains the entire agreement between Niya and the Talent Partner in connection with candidate referrals supersedes all prior understandings and agreements. This Agreement prevails over any terms of business or purchase conditions (or similar) put forward by the Talent Partner.
- Niya reserve the right to offer an alternative reward at any time.
- In the event of a dispute, the decision of Niya is final.
- Niya will not be liable for any loss that is not caused by Niya or that was caused by any event or circumstance beyond Niya’s reasonable control.
- In performing this Agreement Niya is acting in business on its own account and nothing in this Agreement shall be construed as creating any contract of employment or relationship of principal and agent between Niya and the Client. Niya and its employees are not covered by any personal accident, medical or other insurance policies or other arrangements in place for employees of the Client.
- Either party may immediately terminate this Agreement by written notice if the other party is unable to pay its debts as they fall due or suspends payment of any of its debts or enters into any arrangement with creditors for the payment of any of its debts or if an administrator, administrative or other receiver, manager or liquidator is appointed in respect of either party or any of its assets or any application is made for the appointment of such officer.
